Client Update – Online submission to the Registrar of Companies is mandatory as of June 27, 2024

Recently, provisions came into force to amend the Digital Communication with Public Bodies Law, 5778-2018, by virtue of them
The provisions of the Companies Law, 5759-1999 (the “Companies Law”) were also amended, in connection with the manner in which documents are submitted
and reports to the Registrar of Companies at the Corporations Authority. Accordingly, as of June 27, 2024, documents and reports to the Registrar of Companies
shall be submitted by way of electronic communication – i.e. online only (except in circumstances found by the Registrar
Companies as justifying non-electronic filing).

The establishment of a company* and the submission of documents and reports will be done through an entity that falls within the definition of “authorized to report” (as defined below). Submission of documents and reports will be done through the “Network Corporations” website (the “Site”) after identifying the National Identification System (the “System”).

“Authorized to report” is a person who reports in the Registrar of Companies as a director, CEO of the company and another entity that reports by the company as authorized to report on its behalf on the website. It is clarified that according to section 39(a) of the Companies Law, a person authorized to report does not have to be a person who serves in the company as an officer.

Registration and updates regarding the authority to report will be carried out online through the system or through the holder of a personal smart card issued by an approved party.

The Registrar of Companies shall register and update reports that are part of the list detailed below, immediately, without waiting for examination and approval by the Companies Unit at the Registrar of Companies: Annual Report; operations in shares; changes in the composition of the board of directors; updating officials; Update your address and digital address.

If a company has not yet appointed an authorized person to report on its behalf, it is recommended to prepare and do so. In addition, it is recommended that those authorized to report register in advance with the National Identification System for the purpose of connecting and submitting online reports on the website.
