Sagee has acquired extensive, unique experience in the retail, fashion and online sales sectors, in large-scale transactions and on projects where he has acted as senior legal consultant to the international fashion group – Trimera, which includes one of Israel’s largest fashion consortia that operates franchises of the international brand chains – Zara, Stradivarius, Pull & Bear, Zara Home, Massimo Dutti, Bershka, Lefties, Nike, and more, and is also involved in the manufacture, distribution and international marketing of upmarket swimwear brands such as Gottex, Profile and others.

His wide experience in all aspects of commercial law, his ability to understand his clients’ commercial requirements, combined with diligence, unfailing availability and the individual care he gives, enable Sagee to provide his clients with legal-commercial advice that is effective and of the highest quality.

These are some of the high-profile cases in which Adv. Feldman has represented:

  • the Africa-Israel Group in the sale of its holdings in Highway 6 – one of Israel’s most complex-ever BOT projects, with a value of around US$125,000,000;
  • the Africa-Israel Group in the sale of its holdings in the Gottex Group – Zara Israel (the owner of the Israeli franchise for the international fashion brands, Zara, Pull & Bear, Massimo Dutti, Bershka, etc) – to Canadian investors;
  • one of the largest accountancy firms in Israel, in a merger with Deloitte, Israel;
  • the Gottex Group in the acquisition of the entire shareholding in a corporation which owned the Israeli franchise rights in the global brand – GAP, for a consideration of around NIS 40,000,000, as well as overseeing the negotiation of a new franchise agreement for the brand in Israel;
  • Palace Industries Ltd. (a listed company) in the sale of its primary activity in various areas of manufacturing (wet-wipes, disposable utensils, aluminum products) to NETO, for a consideration of about NIS 120,000,000;
  • the Gottex Group in its negotiations on an agreement to acquire the franchise rights for the GAP brand in various European countries;
  • the controlling shareholders in Channel 9 – the Russian language TV Channel, in the sale of their controlling shareholding, for a total consideration of US$12,500,000;
  • the Gottex Group in its acquisition of activity and assets relating to the manufacture, development and marketing of Private Label swimwear, from the owners of an American consortium which was involved in Chapter 9 proceedings;
  • the Africa-Israel Group in the sale of its holdings in an Israeli hotel chain to the Dayan Group. for a total consideration of about NIS 950,000,000;
  • the international fashion group Trimera, in its negotiations on several agreements to acquire franchising rights for the NIKE brand in Israel and in several European countries;
  • Zara Israel, in its negotiations on agreements to acquire franchising rights from the Spanish group – Inditex, for the brands, Stradivarius, Zara Home and Lefties;
  • the international fashion group Trimera, in the sale of the Israeli activities of the sportswear chain, Nike, to the Fox Group;
  • Zara Israel, in the group’s negotiations with the Spanish group Inditex, to acquire franchising rights, as well as overseeing the creation of the legal structure for the establishment and operation of websites and online trading platforms to market and sell under the international brands Zara, Pull & Bear, Zara Home, Stradivarius, Massimo Dutti, and Bershka;
  • the international fashion group, Trimera, in a complex transaction involving the sale of shares and activity of several companies in various European countries (Hungary, Austria, Czech, Slovenia) in which the group owned and operated a chain of stores under the international brand, Nike.
